Introduction
Welcome to Y Consulting LLC (“Company,” “we,” “our,” “us”). By accessing or using our website https://y-consulting.us and our consulting services (collectively, “Services”), you (“Client,” “you,” “your”) agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.
Services
Y Consulting LLC provides communication consulting services aimed at enhancing clients’ messaging strategies. The specific services, deliverables, timelines, and fees will be outlined in individual agreements with each client.
Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for the provision of Services.
- Cooperate with Y Consulting LLC in scheduling and communication.
- Promptly review deliverables and provide feedback to facilitate project timelines.
Fees and Payment
- Fees: Fees for Services will be specified in individual client agreements.
- Payment Terms: Clients agree to pay invoices within 15 days of receipt. Late payments may incur interest at a rate of 2% per month.
- Expenses: Any additional expenses incurred during the provision of Services will be pre-approved by the Client and reimbursed accordingly.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. This obligation extends beyond the termination of Services.
Intellectual Property
- Client Materials: Clients retain ownership of any materials provided to Y Consulting LLC for the purpose of the Services.
- Work Product: Unless otherwise agreed, Y Consulting LLC retains ownership of any methodologies, frameworks, or tools developed prior to or outside the scope of the Services. Clients are granted a non-exclusive, non-transferable license to use deliverables produced specifically for them.
Limitation of Liability
To the maximum extent permitted by law, Y Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising out of or related to the use of our Services.
Termination
Either party may terminate the engagement with 30 days’ written notice. Upon termination, clients agree to pay for all Services rendered and expenses incurred up to the termination date.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.
Dispute Resolution
Any disputes arising out of or related to these Terms shall be resolved through mediation in [insert location]. If mediation fails, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
Amendments
Y Consulting LLC reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes, and continued use of the Services constitutes acceptance of the revised Terms.
